1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and Etals Core AB, org. nr 559460-5759 ("Etals", "we", "us", or "our") governing your access to and use of the Etals website, platform, and services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access or use our Services.

2. Description of Services

Etals provides an AI-powered content platform for e-commerce businesses, including but not limited to:

• AI-assisted content creation and optimization
• Product content management and enrichment
• Content analytics and performance insights
• Integration with e-commerce platforms and systems
• Collaborative workflows and team management tools

We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time without prior notice.

3. User Accounts

3.1 Account Registration

To access certain features of our Services, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

3.2 Account Security

You are responsible for safeguarding your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account or any other breach of security.

3.3 Account Termination

We reserve the right to suspend or terminate your account at any time for any reason, including if we reasonably believe you have violated these Terms.

4. Acceptable Use

You agree not to use our Services to:

5. Intellectual Property

The Services and all content, features, and functionality (including but not limited to software, text, graphics, logos, icons, and images) are owned by Etals or our licensors and are protected by copyright, trademark, and other intellectual property laws.

5.2 Your Content

You retain ownership of any content you upload, submit, or create using our Services ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such content solely for the purpose of providing and improving our Services.

5.3 AI-Generated Content

Content generated by our AI tools based on your inputs belongs to you, subject to our Terms. You are responsible for reviewing and ensuring the accuracy and appropriateness of any AI-generated content before use.

6. Payment Terms

6.1 Fees

Certain features of our Services may require payment of fees. All fees are stated in the applicable pricing plan and are exclusive of taxes unless otherwise stated.

6.2 Billing

Subscription fees are billed in advance on a monthly or annual basis depending on your chosen plan. You authorize us to charge your designated payment method for all fees due.

6.3 Refunds

Unless otherwise required by law, fees are non-refundable. We may, at our sole discretion, provide refunds or credits on a case-by-case basis.

6.4 Price Changes

We reserve the right to change our pricing at any time. We will provide at least 30 days' notice before any price increase takes effect for existing subscribers.

7. Confidentiality

Each party agrees to keep confidential all non-public information disclosed by the other party that is designated as confidential or that reasonably should be understood to be confidential. This obligation does not apply to information that is publicly available, independently developed, or rightfully obtained from third parties.

8. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, error-free, or completely secure. AI-generated content may contain errors or inaccuracies, and you are solely responsible for reviewing and verifying such content.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ETALS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO ETALS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify, defend, and hold harmless Etals and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with your access to or use of the Services, your User Content, or your violation of these Terms.

11. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of Sweden, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Stockholm, Sweden.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Services after any changes constitutes acceptance of the new Terms.

13. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

14. Entire Agreement

These Terms, together with our Privacy Policy and any other agreements referenced herein, constitute the entire agreement between you and Etals regarding your use of the Services and supersede all prior agreements and understandings.
